These terms apply when a business signs up for Clever Little Tools. Last updated: [date].
TEMPLATE: check and complete every part in [square brackets] before you take sign-ups. This is a starting point, not legal advice. These terms are written for business customers.
Clever Little Tools is run by Amy Conlon, a sole trader based in Teesside, UK ("we", "us"). Contact: [your email].
We build and host interactive tools for your business ("your tools"), such as a Clever Tool, the Social Post Kit or the Loyalty & Rewards App, as described on our website when you sign up. Before your tools go live, we'll show them to you and you'll approve them.
You pay a one-off set-up fee and then a monthly fee, at the prices shown when you sign up. The set-up fee is paid [before we start building]. Monthly fees are paid [in advance, starting from the date your tools go live]. Prices [include / don't include] VAT. We'll give you at least 30 days' notice of any price change.
There's no minimum term[, other than the first month]. You can cancel at any time by giving [30 days'] notice by email. The set-up fee [isn't refundable once we've started building]. When your notice ends, we'll switch your tools off. If a tool stores your customers' details, we'll send you a copy before deleting it.
You're responsible for the accuracy of the prices, services and wording you give us and approve, and for making sure your tools and offers follow the rules that apply to your business (for example advertising rules, competition rules and data protection law). Please tell us promptly about any changes.
Where a tool collects your customers' details, you are the data controller and we process the data on your behalf, only to provide your tools. We keep it secure, don't sell it or use it for anything else, and delete or return it when you leave. [We'll provide a data processing agreement.]
Your logo, photos, prices and content stay yours. The code and design of the tools belong to us, and we give you a licence to use your tools while you're subscribed.
We'll do our best to keep your tools online and working, and fix problems promptly, but we can't promise they'll never be unavailable (for example if our hosting provider has an outage).
Nothing in these terms limits liability that can't be limited by law. Otherwise, our total liability to you is limited to the fees you've paid us in the [12] months before the claim, and we're not liable for indirect losses such as lost profits or bookings.
We may update these terms and will tell you about any important changes. These terms are governed by the law of England and Wales.
